Scott J. Lebson

Scott Lebson is a Partner in the New York Office of Ladas & Parry LLP and is a member of the Mergers, Acquisitions & Licensing Group.

Mr. Lebson’s practice focuses primarily on commercial transactions relating to the worldwide acquisition, divestiture, licensing, exploitation and securitization of intellectual property rights. Mr. Lebson has extensive experience drafting and negotiating domestic and cross-border intellectual property agreements and regularly conducts intellectual property due diligence pertaining to major acquisitions and divestitures for Fortune 500 companies, but also for small and medium size enterprises as well. He regularly counsels clients with respect to a broad spectrum of commercial transactions affecting intellectual property, including asset and stock purchase agreements, collaboration and strategic alliances, intellectual property security agreements and also patent, trademark, copyright, software and technology licenses across a broad range of industries. Furthermore, Mr. Lebson is considered one of the foremost authorities on the evolving area of intellectual property security interests and the creation and worldwide perfection of such liens.

Mr. Lebson also counsels clients with respect to worldwide IP recordal matters, including preparation, filing and recordation of documentation relating to the transfer of intellectual property rights worldwide.

Mr. Lebson also counsels clients with respect to issues affecting new media rights, including drafting and negotiating content, data and software licenses, privacy policies and terms and conditions; online marketing and affiliate agreements; contest and sweepstakes compliance; SaaS and other Cloud based agreements and various other web-based transactions.

Scott also practices in the area of US and international trademark prosecution and enforcement across a broad range of industries including advising clients on the clearance, adoption and prosecution of trademarks, enforcement in the form of opposition, cancellation and infringement actions, and drafting and  negotiating worldwide coexistence agreements.

Mr. Lebson is also an accomplished speaker and has lectured extensively on intellectual property matters, particularly in the evolving area of international intellectual property securitization.

Merck & Co., Inc. in its post-acquisition reorganization of substantial IP assets from Cubist Pharmaceuticals, Inc.
Merck & Co., Inc. in the worldwide transfer of over 11,000 patents as a result of the merger with Schering Corporation;
Chrysler Group LLC, in its post-reorganization securitization of patent and technology rights;
Fortunoff Brands LLC, in its post-reorganization transfer of trademark rights worldwide;
Ruby Tuesday, Inc. in its acquisition of intellectual property rights from Lime Fresh Mexican Grill, Inc.
PPG Industries, Inc. in its acquisition of intellectual property rights from Ameron International Corporation.
